Latest in Series of Planned Strategic Acquisitions, Copenhagen-based NotesHouse Adds Essential Depth to IT FACTORY’s Professional Services Capability

Copenhagen, Denmark, and Boston, USA, 30 May 2001 — IT FACTORY, Inc., the leading supplier of knowledge technology solutions, today announced plans to acquire one of the leading Lotus Notes/Domino professional services practices in Denmark, NotesHouse. Copenhagen-based NotesHouse is a very successful and profitable consultancy that specialises in the design and implementation of Internet/Intranet/Extranet solutions and Lotus Domino infrastructure management. IT FACTORY, the world’s largest Lotus ISV, is using the acquisition to address the need among both its customers and business partners in the Nordic region who are asking that IT FACTORY be more directly involved in strategic development projects.

NotesHouse, a longtime business partner of IT FACTORY, brings an extensive knowledge base in both Lotus Notes/Domino and the IT FACTORY product suite and development methodology. The company, well established and recognised in the Danish market, has a proven track record in delivering business solutions based on the IT FACTORY development architecture. A Lotus Business Partner founded in 1999, NotesHouse provides a wide range of collaborative technology solutions, including custom application development, migration services, Internet/Intranet/Extranet development, project management and service and support.

IT FACTORY’s acquisition of NotesHouse is central to the company’s strategy of building the world’s leading provider of knowledge technology solutions. Andy MacDonald, Chief Operating Officer, International, of IT FACTORY explains: “Our acquisition of NotesHouse plays a key role in creating the number one collaborative solution company in the world, as we continue to build a world-class professional services organisation alongside our industry-leading collaborative technology. The NotesHouse team is an ideal compliment to the skill set and real world experience of our own professional services team.”

NotesHouse’ existing customer base includes many well-known Denmark-based organisations in the Financial, Service and Manufacturing industries, including Totalkredit A/S, Chr. Hansen A/S, CP Kelco Aps, Toyota Danmark A/S, and Time Manager International A/S (TMI). Christian Holst Jensen, managing director of NotesHouse, states: “We see great value in joining forces with IT FACTORY, which we have seen undergo dramatic growth over the past three years. We are excited with the opportunity to take our extensive skill sets and apply them to the broader market that IT FACTORY addresses. This is not only a smart business move, but also represents a great career opportunity for our consultants.”

Current NotesHouse customers are also enthused about seeing the company become part of IT FACTORY, as it provides immediate access to a much broader skill set and technology expertise. Jens Waldstrøm, IT Manager of Toyota Danmark A/S, stated: “We have relied on NotesHouse’ expertise for a variety of IT projects, and feel their joining IT FACTORY not only deepens and broadens their service offerings, but make it easier to bring them into our long-term strategic IT initiatives now that they are part of a much larger global organization with proven technology.”

This is the latest in a series of planned acquisitions in the collaborative e-business market for IT FACTORY, a strategy intended to consolidate complementary e-business technologies and services around IT FACTORY’s collaborative technology foundation. The Company also acquired Corporate Image Software in January 2000, Solutions By Design in April 2000, and Documentaal in June 2000, MICA Computing Services Ltd in September 2000, Credenza in March 2001, ECMS in April 2001, and Synergistics in May 2001. The addition of NotesHouse’ team gives IT FACTORY a much broader presence in Denmark, enabling IT FACTORY to better serve the needs of both its business partner community and its customers.

Last month, the company made a pivotal expansion into the Microsoft market with the acquisition of Columbia, SC-based ECMS, becoming the only company in the market to effectively address both sides of the corporate messaging fence - Lotus AND Microsoft. With the acquisition of Synergistics, also announced this month, IT FACTORY added another unique dimension to its value proposition: the ability to integrate knowledge management within the business applications that employees use on a daily basis. IT FACTORY became the first company to effectively address the emerging market for collaborative applications with integrated knowledge management functionality.

IT FACTORY’s continued consolidation of complimentary companies is also expected to open a host of new opportunities for its business partners to gain entrée into large corporate accounts. MacDonald believes that a joint approach with his business partners to market opportunities is vital when bringing a new vision to the development of collaborative applications. “We see NotesHouse, along with our existing professional services team, building ‘lighthouse’ solutions that our business partners will be able to leverage, both as references and examples of best practice.”
