Aventis CropScience and IBM Global Services Corp. announce today the signature of a ten-year,
world-wide collaboration between the two companies in the field of Information Technology.
Under this agreement IBM will assist Aventis CropScience in the management and consistent
improvement of its IT system, with the overall objective of implementing global solutions
well-tailored to meeting specific local needs.

As part of the agreement, IBM will take on the responsibility for a number of Aventis
CropScience's IT services currently being carried out either internally or by other third
parties. Aventis CropScience and IBM will together re-align these services into three
categories:

I. Global services: such as E:Mail and Global Data Network which will be used by all Aventis
CropScience countries,

II. Regional services: such as Enterprise Resource Planning systems (SAP) and other key
applications for 18 Aventis CropScience country organisations,

lll. Local services: desktop, laptop & local IT infrastructure support for Aventis
CropScience affiliates in Australia, Brazil, Canada, France, Germany, the UK and the US.

Overall, these services represent 35% of Aventis CropScience's ongoing IT expenditure.

This three-fold approach will enable Aventis CropScience to access leading edge IBM
technology and processes at every level of its organisation. Together, Aventis CropScience
and IBM will work to optimise IT costs, track professional and technological synergies across
the organisation and continuously improve customer services.

In financial terms, the collaboration is expected to save Aventis CropScience over $60
million over the next ten years. A small group of Aventis CropScience IT experts will
transfer to IBM and the others will be refocused on more business-oriented tasks.
