London, 3rd August, 2001 - Buongiorno.it, leader in interactive and mobile services has reached definitive agreement to acquire MyAlert.com, leader in mobile commerce services, establishing the largest European independent group for mobile services with 300 people and over 22 million subscribers in nine countries.
The joining of forces between the two companies will take place through the acquisition of up to 100% of MyAlert shares by Buongiorno.it. MyAlert’s shareholders will, in turn, be assigned Buongiorno.it’s newly issued shares thus holding about 1/3 of the capital post increase. The final agreement, signed yesterday by the Buongiorno group’s management and majority shareholders of MyAlert, will be presented for approval at the Buongiorno shareholder meeting at the end of August.
Buongiorno’s shareholders include the Tronchetti Provera’s Camfin, Barilla, 3I and San Paola IMI Private Equity. Major shareholders of MyAlert.com are the founder, Mr. Jorge Mata, 3I, Nomura and Banco de Santander. Mauro Del Rio-founder of Buongiorno.it and Andrea Casalini will remain respectively Chairman of the board and CEO of the company. Jorge Mata will join Buongiorno’s board of directors as the vice chairman. Future plans of the company include an IPO.
