Unique Replication Technology Complements Existing Product Strategies and Marks Entry Into the Growing
Heterogeneous Database Replication Market

BEDFORD, Mass.- Nov. 5, 2001—Progress Software Corporation (NASDAQ:PRGS), a leading supplier of technology for
building e-business solutions, today announced the acquisition of substantially all of the assets of
PeerDirect Inc., developers of a distinctive heterogeneous database replication system for high-speed and
reliable distribution of business information. Terms of the acquisition are undisclosed, but all current
PeerDirect employees have accepted employment with the Progress Software family of companies . These
employees will continue to enhance PeerDirect’s technology, including adding support for the Progress
database, and they will continue support for current and future PeerDirect users.

PeerDirect offers a replication system for securely distributing and synchronizing data stored on databases
within the enterprise, as well as over the Internet. In acquiring PeerDirect, Progress will further extend the
capabilities of its OpenEdge? e-business platform, which includes its leading embedded database, Fathom (see
today’s press release at ), and other proven products for application development, that aid
in integrating disparate sources of data within business-critical applications. PeerDirect will remain
headquartered in Toronto.
