Company Achieves Milestone with Appointment of Second Chairman in its 25-year History

J.D. Edwards has appointed Robert M. Dutkowsky, president and chief executive officer, to chairman of the board. As originally announced in January, when Dutkowsky was named to the positions of president and CEO, the company named Dutkowsky chairman at the annual stockholders meeting on March 26, 2002. Dutkowsky replaces C. Edward McVaney, J.D. Edwards' cofounder and, until now, the only chairman in the company's 25-year history.

As the second chairman in J.D. Edwards' history, Dutkowsky leads a company of nearly 5,000 employees, with nearly 6,500 customers in more than 100 countries and 250 strategic alliance partners. Dutkowsky brings to the job a track record of leadership and growth with market-leading information technology companies - a career spanning roles in software, storage and services.

Dutkowsky joined J.D. Edwards on January 3, 2002, from Teradyne, Inc., where he was president of its Assembly Test Division. Previously, he had been chairman, president, and chief executive officer of GenRad, Inc., which was acquired by Teradyne in October 2001. Prior to that, he held senior leadership positions at EMC, including president of its Data General division. Dutkowsky began his career at IBM, where he spent 20 years in various sales, marketing, and leadership positions, including executive assistant to former IBM Chairman Louis V. Gerstner and head of worldwide sales and marketing for the RS/6000 division.

Additionally, the J.D. Edwards Board of Directors announced that C. Edward McVaney has resigned from his one-year term as a director of J.D. Edwards, and that separately, Jan Zapapas, a former J.D. Edwards executive who held senior positions in development, services and marketing, has been named to a three-year term on the board.
