Odigo's Instant Messaging Solution and Presence Management Engine, Integrated with Comverse's Suite of Enhanced Multimodal Communication Products, Offers Carriers a Full Range of Open Messaging and Communications Applications

Comverse, a unit of Comverse Technology, Inc. (NASDAQ: CMVT), and the world's leading supplier of software and systems enabling network-based multimedia enhanced communications services, today announced that it has signed a definitive agreement to acquire Odigo, Inc., a privately-held leading provider of instant messaging (IM) and presence management solutions to wireless carriers and service providers worldwide. The acquisition, with a cost to Comverse of approximately $20 million in cash, is subject to closing conditions customary for a transaction of this type. Prior to the acquisition, Comverse Technology was a strategic partner with Odigo holding an equity position of approximately 12.4%, which it previously acquired for $3 million.

"Comverse and Odigo have had a long standing-partnership and together have developed instant communications products and services that we have recently begun to offer to operators around the world. We are now taking this partnership to the next level. The combination of Comverse and Odigo offerings enhances Comverse's ability to address the emerging market demands for open instant messaging and communications applications. Further, the integration of Odigo's instant messaging server and presence management engine with Comverse's messaging solutions, such as voicemail, email, unified messaging and MMS, has strengthened our total messaging suite" said Zeev Bregman, Chief Executive Officer of Comverse. "This acquisition is consistent with our commitment to provide an open IP-based platform built upon technologies that allow us to deliver to operators a wide range of intelligent, multimodal communications services. We welcome the opportunity to serve Odigo customers, which include, NEC Corp. and Sunrise Communications."

"With the instant messaging and presence management markets poised to emerge in the wireless environment, Comverse has positioned itself as a leader in the space by securing our comprehensive, telco-grade, and service-oriented infrastructure, which helps operators leverage both new technologies and their investments in 2.5 and 3G networks," said Howard Woolf, Chief Executive Officer of Odigo. "The field-proven Odigo instant messaging service, which serves millions of subscribers, enables Comverse to expand its offering to include both in-network and outsourced instant communications solutions."

With the Odigo instant messaging server and presence management engine, Comverse's instant communications products offer carriers a multimodal end-to-end solution, including both messaging and voice services (voice chat, voice conferencing, etc.), providing the ability to switch between modalities. End-users now can easily manage their communications needs as well as initiate one-to-one and group instant communications across a wide array of devices and platforms (including SMS, MMS, WAP, Windows, Windows CE, Web, J2ME, BREW, Palm, Blackberry, iMode and Symbian). Comverse's instant communications solution is field-proven, telco-grade, scalable, and offers traffic-driving voice and text functionality and the comprehensive set of management and monitoring tools needed to maintain a tier-one instant communications service.
