Perle Systems Limited (NASDAQ: PERL; TSE: PL), a leading developer
and manufacturer of networking products for e-business access,
today announced the acquisition of the product business division
of Zeta Communications Limited, Wrexham, a pioneer in the rapidly
growing field of Voice over IP (VOIP).

The acquisition, valued at US$760,000 plus 163,840 shares of Perle
stock, brings Perle a full VOIP product line with customer
installations in the UK and other countries in Europe.

The Zeta acquisition represents the next step in Perle’s strategy
to become the leading worldwide provider of e-business access
solutions to selected segments of the AS/400, UNIX/Linux and
Windows NT marketplaces. It follows on the heels of the already
successful acquisitions of Affinity and Specialix, made by Perle
Systems last fiscal year.

"I expect significant strategic benefits in the immediate addition
of Voice over IP technology to Perle’s growing technological and
product strength in the new marketplace of e-business access,"
said Perle Chief Executive Officer, Joe Perle. "The acquisition is
expected to result in long-term revenue growth and enhancement to
the bottom line for Perle Systems. As with our previous
acquisitions, we aim to have revenue in the current fiscal year
from these new products already being sold by Zeta, and for the
acquisition to be accretive to earnings per share (EPS) this

Perle intends to leverage the immediate availability of VOIP
technology from this acquisition to enhance the functionality of
its existing products, which include the award-winning Perle 594
Series of Network Controllers. Perle recently announced plans to
add Virtual Private Networking (VPN) capability to the Perle 594
platform, which is expected to significantly reduce wide area
networking costs for users, compared to frame relay or leased line
connections. The addition of VOIP functionality is expected to
provide Perle customers with a one-of-a-kind integrated solution
to meet all of their AS/400 remote office connectivity needs.

Perle Systems also announced that Richard Pole, Managing Director
and founder of Zeta, together with Zeta’s highly experienced
engineering, sales and support staff, will be joining the Perle
Systems’ team following the acquisition.

Richard Pole noted, "Zeta is a Pioneer in VOIP and has developed
unique technology and applications already installed at a large
number of customer sites. The combination of Zeta’s technology
with Perle’s marketing, sales and distribution infrastructure and
expertise will now enable Zeta solutions to be sold to a worldwide
customer base."
