Administaff Acquires OrgPlus® Small Business Product Line
from HumanConcepts

• Agreement advances HumanConcepts’ strategic focus on enterprise organisations

Exeter, United Kingdom —6 January 2011 – HumanConcepts, the leading provider of workforce decision support solutions, today announced the acquisition of certain assets by Administaff, Inc. (NYSE: ASF), a leading provider of human resources services for small and medium-sized businesses. Administaff has acquired ownership of the current OrgPlus software product line targeted at small and medium-sized businesses as well as a source code license for a Software as a Service (SaaS) based version, which will be released later this year. HumanConcepts will retain its enterprise solution suite and continue to build on its momentum in that market. The terms of the transaction were not disclosed.

OrgPlus facilitates rapid creation, management and communication of detailed organisational charts. In addition, OrgPlus provides a framework that promotes detailed workforce analysis by bringing together data from accounting, human resources (HR), sales, performance management and other business systems into a dynamic and intuitive visual display. By creating this visual context, management, HR professionals and employees are able to better understand their organisational structure, increase their productivity and more easily plan for change.

HumanConcepts will now dedicate its resources to expanding the OrgPlus Enterprise platform and suite of SaaS-based Organisational Change Management solutions, which are designed for large-scale public and private-sector organisations with more than 1,000 employees. These customers will benefit from accelerated product development and faster delivery of enhanced, integrated solutions that enable them to perform better, rapidly address organisational change and manage growth.

The acquisition includes the brand name and entire OrgPlus licensed software product line designed for the small and medium-sized business segment, including the Premium, Professional and Standard versions. Administaff is also acquiring additional technology assets in the form of a source code license which will facilitate the launch of a SaaS based version of the product targeted at small and medium sized businesses later this year. With the large base of existing SMB customers, the OrgPlus product line is expected to provide a revenue stream to further advance the company’s adjacent business growth strategy.
