Theale, Reading, U.K., 1st December 2011. Integralis, a global provider of IT Security and Information Risk Management solutions, today announced the formal acquisition of Secode AB, a leading provider of managed security services, from parent company NTT Communications (NTT Com).

With a strong presence in Sweden, Norway, Finland and The Netherlands, Secode AB is widely recognised as a leading IT security provider, offering managed security services, security consultancy and technology to commercial, government and military organisations.

Under this agreement, Secode will become a wholly owned subsidiary of Integralis and will be able to offer the full range of Integralis' products and services to meet customers’ requirements for next-generation IT security.

Göran Egnell, CEO of Secode comments, “We are looking forward to the opportunities that this acquisition will bring to our organisation, our customers and our employees. Our excellent relationship with Integralis to date has already proven to be extremely valuable and we look forward to formally becoming part of the Integralis team. We will continue to provide our regional and multi-national customers with comprehensive, value-added services to help identify and manage their information security risk, whilst providing a far greater range of expertise and delivery that is only possible from a global organisation. ”

In the transaction, NTT Com has transferred its 88% shareholding in Secode to Integralis giving Integralis 100% ownership of Secode. In exchange NTT Com receives additional shares in Integralis taking its overall shareholder stake in Integralis to more than 78%.

Katsumi Nakata, Senior Vice President, Global Business, NTT Com said, “We continue to invest heavily into the growth and expansion of Integralis worldwide. The transfer of Secode to Integralis will offer even greater opportunities for Integralis to develop its leadership position providing pure-play information security solutions across a key region.”

“The acquisition of Secode not only expands our coverage across the Nordics, it adds a wealth of commercial, government and military experience and expertise particularly to our consulting organisation. We look forward to furthering our relationship with the fantastic team at Secode and welcoming them to Integralis. The addition of Secode reinforces our ability to offer customers the very best service and will help us to build on our MSS offering recently rated as ‘Strong Positive’ in the Gartner MarketScope for Managed Security Services (MSSs) in Europe* report,” said Simon Church, Chief Operating Officer, Integralis.
