The new company formed by the merger of Wavetek Wandel
Goltermann (WWG) and TTC today announced that it has reached
a definitive agreement to acquire Cheetah Technologies
through Dynatech Corporation, the new company's parent
organisation. Cheetah will be combined into the new
company's Cable Networks Division based in Indianapolis.

This transaction brings together the industry leaders in
field test and network management systems. The combined
business unit will focus on creating broadband solutions
designed to streamline and unify the network operations
process. Cable operators will benefit from comprehensive
systems that enhance the installation, management and
service of HFC networks.

The new company, a global leader in optimising today's
communications systems and networks, has combined revenues
of more than $800 million, more than 4,000 employees, and a
presence in 80 countries. It will announce its new name
later this summer.

One Comprehensive, Integrated Solution

By integrating the new company's market-leading family of
WWG portable field meters with Cheetah's expert network
monitoring systems, the new business unit will provide one
comprehensive integrated solution that will streamline
operations, lower costs, simplify staff training, and
improve network reliability. It will capitalise on the joint
resources of each company's R&D, resulting in new
value-added, integrated solutions coming to the market
faster. In the meantime, both the new company and Cheetah
will continue to support their existing products.

Cable operators will also benefit from the worldwide
professional services, training and customer support
resources of both companies. In the future, customers will
have access to one team of experts that will provide
installation, consulting and technical assistance services.
Until then, customers will continue to get the same high
level support from their current product provider's sales
and customer service representatives.
